Emmis Completes Offering of Senior Subordinated Notes and other Refinancing Transactions

Indianapolis…Emmis Communications Corporation (NASDAQ: EMMS) today announced that Emmis Operating Company, its wholly-owned subsidiary, closed its Rule 144A offering of $375 million of 6-7/8% senior subordinated notes due 2012. The company also entered into a new senior credit facility in an aggregate amount of approximately $1.025 billion, consisting of a senior secured term loan facility of $675 million and a senior secured revolving credit facility of $350 million.

Emmis has used and will use the net proceeds from the offering of senior subordinated notes and borrowings under the new senior credit facility to repay all indebtedness under the prior credit facility of Emmis Operating Company, to repurchase or redeem all of the outstanding 8-1/8% senior subordinated notes of Emmis Operating Company and to repurchase the 12-1/2% senior discount notes of Emmis Communications.

In connection with its previously announced tender offers, Emmis accepted for purchase $284,861,000 in aggregate principal amount at maturity of its 12-1/2% senior discount notes and Emmis Operating Company accepted for purchase $294,515,000 in aggregate principal amount of its 8-1/8% senior subordinated notes, representing notes tendered prior to the consent payment deadline. In connection with the tender offers for these notes, on April 26, 2004, Emmis and Emmis Operating Company entered into supplemental indentures for the 12 1/2% senior discount notes and the 8-1/8% senior subordinated notes, which supplemental indentures became operative today.
